University Lab Partners
Terms & Conditions
Last updated: September 23, 2026
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THESE TERMS AND CONDITIONS ("AGREEMENT") ARE A LEGAL AGREEMENT BETWEEN YOU AND UNIVERSITY LAB PARTNERS.
THIS AGREEMENT CONTAINS PROVISIONS THAT GOVERN HOW CLAIMS BETWEEN YOU AND US ARE RESOLVED. SECTION 12 CONTAINS AN ARBITRATION AGREEMENT THAT, WITH LIMITED EXCEPTIONS, REQUIRES DISPUTES BETWEEN US TO BE SUBMITTED TO BINDING AND FINAL ARBITRATION. UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT: (1) YOU MAY PURSUE CLAIMS AND SEEK RELIEF AGAINST US ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING; AND (2) YOU ARE WAIVING YOUR RIGHT TO SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL ON YOUR CLAIMS. SEE SECTION 12 FOR DETAILS AND FOR HOW TO OPT OUT.
1. Purpose
University Lab Partners ("ULP," "we," "us," or "our") is an independent, non-profit corporation. We give life science and medtech companies access to research capabilities and a network of technical, business, and talent resources at an economical cost. By using our website and the information and services offered through it (the "Services"), you agree to this Agreement.
Signed agreements come first. If you have signed a membership, license, or other written agreement with ULP, that agreement governs your use of our facilities and programs. Where it conflicts with this Agreement, the signed agreement controls.
The Services work best when every user (collectively "you," "your," or "Users") follows this Agreement. We will do our best to enforce it, but we cannot guarantee that other Users will comply, and we are not liable for their failure to do so.
2. Eligibility
By accessing or using the Services, or by clicking a button or taking a similar action to accept this Agreement, you represent that:
-
You have read, understand, and agree to be bound by this Agreement;
-
You are 16 or older;
-
You have the authority to enter into this Agreement personally or on behalf of the organization you represent. If you do not agree to this Agreement, you may not use the Services; and
-
You will comply with all applicable laws where you are located while using the Services.
3. Acceptable Use Policy
By using the Services, you agree that:

You will not republish, sell, or commercially redistribute content from the Services without our permission. Sharing links to our pages, and sharing our content for personal or informational purposes with credit to ULP, is fine.

You will not compile a database or directory from content on the Services, except for your own noncommercial use.
-
The information you provide to us is accurate.

-
Your User Content does not violate any law regulating electronic advertising.
-
Your User Content is not excessive in size, as we determine in our sole discretion.
4. Information on Our Services
We work to keep the information on our Services accurate and complete, but we cannot guarantee its accuracy, adequacy, quality, or suitability. We disclaim liability for errors and omissions. You use and rely on content from the Services at your own risk. A link to a third-party website or phone number is not an endorsement of, or affiliation with, that third party.
5. User Submissions and Content
We may offer interactive features through the Services, such as forms and applications. You represent that you own, or have the right to provide, all User Content you submit.
You grant us a non-exclusive, worldwide, royalty-free license to use, copy, display, publish, modify, and distribute your User Content as needed to operate, provide, and promote the Services. For example, this covers displaying a member company's name and logo in our member directory. You keep ownership of your User Content.
Don't send confidential information through the website. Please do not submit confidential, proprietary, or trade-secret information through website forms. Confidential matters are handled under your written agreement with ULP, or under a separate confidentiality agreement.
Feedback. If you send us ideas, suggestions, or proposals about the Services ("Feedback"), we may use them without any obligation to you, including any obligation of confidentiality. You grant us a perpetual, irrevocable, royalty-free, worldwide license to use Feedback for any purpose.
6. Intellectual Property Ownership
We and our licensors own all right, title, and interest, including all intellectual property rights, in the Services. This Agreement does not give you ownership of, or any license to, the Services or our intellectual property except as needed to use the Services under this Agreement. Our name, logo, and product names are our trademarks or belong to third parties, and you may not use them without permission. You will not remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Services.
Copyright complaints. If you believe content on the Services infringes your copyright, email info@universitylabpartners.org. Include the work you claim is infringed, where it appears on the Services, your contact information, and a statement that you have a good-faith belief the use is not authorized.
7. Privacy
Our Privacy Policy explains how we collect, use, and share personal information. Please review it.
8. Third-Party Websites and Advertisements
The Services may link to, or show content from, third-party websites and advertisements. We do not control them and are not responsible for them. We do not review, approve, endorse, or make any representations about them or their products or services. When you leave our Services, the third party's own terms and privacy policy apply. Review them before doing business with any third party.
9. Indemnification
You agree to indemnify and hold harmless ULP and its officers, directors, employees, agents, and affiliates (each an "Indemnified Party") from any losses, claims, actions, costs, damages, penalties, fines, and expenses, including reasonable attorneys' fees, arising from (a) your User Content; (b) your misuse of the Services; (c) your violation of this Agreement; or (d) your violation of any law in connection with the Services. You agree to pay for the defense of any such claim against an Indemnified Party. We may, at our own cost, take over the exclusive defense and control of any matter you are required to indemnify, and you will cooperate with us. You are not required to indemnify any Indemnified Party for its own unconscionable commercial practice, negligence, fraud, deception, false promise, misrepresentation, or concealment, suppression, or omission of a material fact. This section survives termination of this Agreement or of your access to the Services.
10. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. WE MAY CHANGE THE SERVICES AT ANY TIME WITHOUT NOTICE. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THIS INCLUDES ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WE MAKE NO WARRANTY ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF CONTENT ON THE SERVICES.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IF YOUR USE OF THE SERVICES RESULTS IN THE NEED TO SERVICE OR REPLACE EQUIPMENT OR DATA, WE ARE NOT RESPONSIBLE FOR THOSE COSTS.
11. Limitation of Liability
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (CONTRACT, TORT, OR OTHERWISE) WILL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES OR BUSINESS, OR LOST DATA; OR (B) DIRECT DAMAGES, COSTS, LOSSES, OR LIABILITIES (INCLUDING ATTORNEYS' FEES) BEYOND THE GREATER OF THE FEES YOU ACTUALLY PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS ALLOCATE RISK BETWEEN THE PARTIES, AND THE PARTIES RELIED ON THEM IN ENTERING THIS AGREEMENT. Some states do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages, so some of these limits may not apply to you. In those states, our liability is limited to the greatest extent the law allows.
12. Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH US AND LIMITS HOW YOU CAN SEEK RELIEF. THIS SECTION 12 IS THE "ARBITRATION AGREEMENT."
a. Scope. Any dispute or claim relating to your access to or use of the Services, or to any advertising or marketing communications about us or the Services, will be resolved by binding arbitration rather than in court. There are three exceptions: (1) you may bring qualifying claims in small claims court, as long as the matter stays there and proceeds only on an individual basis; (2) either party may seek equitable relief in court for infringement or misuse of intellectual property rights; and (3) disputes under a signed membership, license, or other written agreement with ULP are resolved as that agreement provides.
BY AGREEING TO ARBITRATION, YOU AGREE THAT YOU WILL NOT PARTICIPATE IN, OR SEEK TO RECOVER MONETARY OR OTHER RELIEF IN, ANY CLASS, COLLECTIVE, OR REPRESENTATIVE LAWSUIT. INSTEAD, YOU MAY BRING YOUR CLAIMS IN AN INDIVIDUAL ARBITRATION. IF YOU SUCCEED, THE ARBITRATOR MAY AWARD YOU MONEY OR OTHER RELIEF.
b. Arbitration Provider, Rules, and Location. The arbitration will be administered by AAA under its applicable rules in effect when the arbitration is filed. It will take place in Orange County, California, or by video conference if both parties agree. Fees will be paid equally by both Parties.
c. Arbitrator Powers. The arbitrator, not any court or agency, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this Arbitration Agreement. That includes any claim that all or part of it is void or voidable. The arbitration will not be consolidated or joined with any other proceeding or party. The arbitrator may grant dispositive motions, and may award any monetary or non-monetary relief available to an individual under applicable law, the provider's rules, and this Agreement. The arbitrator will issue a written decision describing the essential findings and conclusions, including how any damages were calculated. The arbitrator will follow applicable law. The decision is final and binding on you and ULP.
d. Waiver of Jury Trial. YOU AND ULP WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A JUDGE OR JURY TRIAL, except as stated in Section 12(a). There is no judge or jury in arbitration, and court review of an arbitration award is limited.
e. Waiver of Class or Consolidated Actions. YOU AND ULP WAIVE ANY RIGHT TO RESOLVE CLAIMS WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS. ALL SUCH CLAIMS MUST BE ARBITRATED INDIVIDUALLY. CLAIMS OF MORE THAN ONE USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED. If this waiver is found unenforceable for a particular claim, that claim will not be arbitrated and will instead be resolved in court under Section 13.
f. Opt Out. You may opt out of this Arbitration Agreement by notifying ULP in writing within 30 days after first becoming subject to it. Your notice must include your name, address, email address (if you have one), and a clear statement that you want to opt out. Send it to info@universitylabpartners.org with the subject line "T&Cs – Opt-out Notice." If you opt out, the rest of this Agreement still applies to you. Opting out does not affect any other arbitration agreement you have with us.
g. Survival. This Arbitration Agreement survives the end of your relationship with us.
h. Modification. If we make a material change to this Arbitration Agreement, it will not apply to any claim you had already notified us about.
13. Exclusive Venue
To the extent the parties may litigate in court under this Agreement, you and ULP agree that all claims and disputes arising from or relating to this Agreement will be litigated exclusively in the state courts in Orange County, California, or in the federal court for the Central District of California.
14. Termination
We may modify or discontinue the Services, or suspend or terminate your access to them, at any time, for any reason, with or without notice, and without liability to you or any third party. We may also take appropriate legal action, including civil, criminal, or injunctive remedies. Provisions that by their nature should survive termination will survive, including sections 5, 6, 9, 10, 11, 12, 13, and 15.
15. General
a. No Joint Venture or Partnership. This Agreement and your use of the Services do not create any joint venture, partnership, employment, or agency relationship between you, ULP, or any third-party provider.
b. Choice of Law. This Agreement is governed by the laws of the State of California and, where applicable, the Federal Arbitration Act, without regard to conflict-of-law principles.
c. Severability. If any provision of this Agreement is found invalid, the remaining provisions stay in full force and effect, except as otherwise stated in this Agreement.
d. No Waiver. Our failure to enforce any provision of this Agreement is not a waiver of our right to enforce it later.
e. Assignment. You may not assign or transfer this Agreement without our written consent. We may assign it, including in a merger, acquisition, or sale of assets.
f. Electronic Communications. You consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. This does not affect your statutory rights.
g. Entire Agreement. This Agreement, together with our Privacy Policy, is the entire agreement between you and ULP about the website and Services. It supersedes prior discussions on that subject. It does not replace any signed membership, license, or other written agreement with ULP, which controls where it conflicts with this Agreement (see Section 1).
16. Changes to These Terms
We may update this Agreement from time to time. When we do, we will post the updated version on this page and change the effective date at the top. If a change is material, we may also notify you by email or on the Services. Changes take effect when posted, and continuing to use the Services after that means you accept them. Changes to the Arbitration Agreement are also subject to Section 12(h).
